Terms of Service
These Terms govern your relationship with us: accounts and subscriptions, fees and invoicing, service termination and balance settlement, data and privacy, software telemetry authorization and dispute resolution. Please read and confirm them in full before using or purchasing our products and services. Last updated: 2026-09-14 (v1.3).
These Terms of Service ("Terms") constitute the agreement between you and Xiamen MINDLOOP Digital Technology Co., Ltd. ("Fangzao MINDLOOP", "we", "us" or "our") governing your use of our products and services, including but not limited to DevMonitor Community Edition, Pro (personal developer) Edition and Enterprise Edition, and any future products (collectively, the "Services").
By checking the confirmation box when registering an account, purchasing a subscription or using the Services for the first time, you acknowledge that you have read and agree to be bound by these Terms (Article 491 of the Civil Code of the People's Republic of China). If you do not agree, please do not register, purchase or use the Services. These Terms, together with the Privacy Policy and the software telemetry authorization, form the complete agreement; in case of conflict, the more specific document prevails.
The Services are offered on an annual subscription basis (the "Subscription Term"). Availability by edition: the Community Edition does not require an account, while commercial editions require account registration (for license binding and validation).
Prices are as displayed on the product page at the time of purchase; price changes do not affect existing subscriptions. We may from time to time offer promotions, discounts or alternative plans as announced.
Enterprise Edition supports corporate contracting and invoicing. Invoicing rules follow the terms displayed at purchase and any written agreement between the parties. To change a subscription or request a refund, please submit through your account or the Contact page; we will process it under "Service Termination and Settlement".
We value service continuity, but as a business we may decide to discontinue a product or edition. To give your rights a certain and predictable protection, the parties make the following advance arrangements for fee settlement upon service termination (this arrangement does not apply to termination caused by your breach, force majeure or requirements of law):
1. Service Balance. The portion of the annual payment corresponding to the unserved period is the "Service Balance".
| Item | Rule |
|---|---|
| Balance proration | Service Balance = Paid amount × (Unserved calendar days ÷ Total days of Subscription Term), prorated daily |
| Notice method | No less than 30 days before the termination date, notice is deemed delivered upon publication through any of: ① the email reserved in your account; ② in-product announcement; ③ announcement on our official website |
| Option A — Refund | The Service Balance is refunded through the original payment channel, or an alternative channel notified in writing if the original channel is unavailable; refunds are completed within no more than 30 business days after the termination date |
| Option B — Alternative | Upon your confirmation, the Service Balance is converted at equal value into service time of our other operating products/services (conversion rules as announced); if you do not actively choose Option B before the termination date, Option A applies |
| Data export window | From the announcement date until no less than 60 days after the termination date, you may export your account data and configuration; afterwards, unless otherwise required by law, we may delete the relevant data |
2. Certainty of the claim. You agree that this clause constitutes the parties' advance arrangement and settlement agreement for the consequences of service termination. In capital reduction, liquidation or other statutory proceedings, the amount of your balance claim determined under this clause shall follow your account records and the proration rules herein.
3. Delivery. You agree that the email reserved in your account and in-product/website announcements are the agreed delivery channels for service-related notices. Failure to actually receive an announcement due to outdated contact information does not mean we failed to give notice. In statutory procedures such as capital reduction or liquidation, we will still perform the notification and announcement obligations required by law; this clause does not waive statutory obligations.
Guided by the principle of "putting the Way first and knowing the awe", we distinguish three categories of data in our relationship with you. Detailed terms are in the Privacy Policy and the telemetry clause below:
| Category | Scope | Our commitment |
|---|---|---|
| A — Website personal information | Enquiry information you submit through contact forms on our website | Processed under the Privacy Policy |
| B — Customer business data | Your own data processed through our products: code, projects, configuration, rules, profiles, reports, etc. | We do not save, read, or use it for training or analysis. Data never leaves your device; license validation uploads only a device-fingerprint digest (an irreversible hash), never source code or business data |
| C — Software operational data | Version, crash/error logs, performance metrics, feature usage frequency and other operational fields, plus behavior statistics required for product improvement (whitelist below) | Transmitted only with your authorization, for version maintenance and updates and product improvement (calibration of built-in rules and profiles); can be disabled/withdrawn at any time |
We never save, copy or exploit the content of your code, projects or business data. The product transmits software operational interaction data and logs only with your authorization, for version maintenance and updates and product improvement (see the clause below and the Privacy Policy).
To improve product stability and compatibility, and to make the built-in rule and profile libraries more accurate as you use them (the more you use, the smarter the baselines), we may request authorization to transmit two categories of data: operational fields and behavior statistics.
How we obtain your consent: this is a separate consent. When you register or first use the Service, we ask you whether you wish to join our product improvement programme through a separate and prominent option. That option is left unticked by default and takes effect only once you actively tick it; we never make the choice for you in advance. As recognition of your contribution, participants receive priority access to internal testing of our new products; this benefit does not reduce the product or service that other users receive under their valid subscriptions. Whether you tick it does not affect the basic functionality or service quality of the Service, and we will not refuse service, remove features or lower service levels because you chose not to join. You may disable or withdraw it at any time in product settings.
Transmission scope (whitelist):
Explicitly excluded (never transmitted): your code, documents, project file contents and paths, original configuration files, rule and profile library contents, account credentials, and any data that identifies your business — behavior statistics record only your votes on our baseline rules and never include any derivative content you create for your own context. If transmission of personal information involves cross-border processing, we will obtain your separate consent and inform you of the recipient's information in accordance with the Personal Information Protection Law of the People's Republic of China.
Our own products are held to the same standard: we never silently transmit data. This clause is the user-visible version of that commitment.
Community Edition products are licensed under the applicable open-source license (as announced on the product page), permitting use, modification and redistribution. Commercial editions are proprietary: you obtain only the right to use the Services during the Subscription Term and may not reverse-engineer, circumvent, resell or use them beyond the granted scope.
Trademarks, interfaces, documentation and brand elements belong to us. Feedback and suggestions you submit (e.g., feature requests, bug reports) are not your confidential information; we may adopt them in product improvement without claiming ownership of your business data.
The Services are provided "as is". We do not warrant that the Services are error-free or continuously available; liability for availability and data loss follows the service description of the subscription type you purchased.
To the maximum extent permitted by law, we are not liable for indirect, incidental or punitive damages arising from your use of the Services. This clause does not exclude or limit liability arising from our intent, gross negligence, or provisions that cannot be excluded by law. Enterprise customers may sign a separate Service Level Agreement (SLA).
If you violate these Terms, applicable laws, or misuse the Services, we may suspend or terminate your access and reserve the right to pursue legal remedies. Termination caused by your breach does not qualify for the refund arrangement under "Service Termination and Settlement". We may cooperate with competent authorities regarding content suspected of illegality or infringement.
These Terms are governed by the laws of the People's Republic of China. Disputes arising from these Terms or the Services shall first be resolved through friendly negotiation; if negotiation fails, either party may bring proceedings before a competent people's court at the company's place of domicile.
We may update these Terms from time to time. Updates will be published on this page with the revision date and version number. For material changes (e.g., fee rules, data commitments, termination settlement arrangements), we will prompt you to reconfirm in a prominent manner; until reconfirmation, the previous version applies.
If you have any questions about these Terms or our data practices, please email mindloop@foxmail.com, or contact us through the Contact page.
